Terms of Service

The agreement between you and Corrected Cloud Pty Ltd covering your use of OCRWell. We've kept the language plain; where a clause really does need the legal wording, it's there because it has to be.

At a glance

  • You keep ownership of the documents you send to OCRWell and the data we return. We only use them to run the service you asked us to run.
  • Paid plans are billed in advance through Stripe on a monthly or annual cycle. Overages are billed on the next invoice.
  • You're responsible for keeping your account credentials and API keys secure, and for what happens under them.
  • Don't use OCRWell to process material you don't have the right to process, or to do anything illegal or abusive.
  • Either party can terminate with notice. On termination your account data is deleted within 30 days, excluding records we must keep by law.
  • These terms are governed by the laws of New South Wales, Australia.

Who these terms are with

OCRWell is a product of Corrected Cloud Pty Ltd (ABN 36 656 886 556), an Australian company registered in New South Wales. In these terms, "we", "us", and "OCRWell" mean Corrected Cloud Pty Ltd. "You" means the person or organisation that has signed up for an OCRWell account.

By creating an account, making an API request, or otherwise using the service, you agree to these terms. If you're accepting on behalf of an organisation, you confirm you have authority to bind that organisation.

Enterprise customers may have a separately negotiated agreement. If a signed order form or master services agreement says something different from these terms, the signed document controls for that customer.

Your account

You need an account to use OCRWell beyond the public marketing site. Authentication is delegated to AWS Cognito, which handles passwords and multi-factor enrolment on our behalf.

  • Provide accurate account and billing information, and keep it up to date.
  • Keep your login credentials and API keys confidential. Anything done with them is treated as done by you, unless and until you notify us that a key has been compromised.
  • Rotate or revoke API keys from the dashboard if you suspect compromise. Tell us at security@ocrwell.com so we can help contain the impact.
  • You must be at least 16 years old to hold an account. OCRWell is not directed at children.

Acceptable use

You are responsible for the documents you send to OCRWell and for how you use the structured data we return. You agree not to use the service to:

  • Process documents you do not own or do not otherwise have the right to process, including material that infringes copyright, trade-mark, or other intellectual-property rights.
  • Handle personal information without a lawful basis, or in breach of any privacy, data-protection, or confidentiality obligation that applies to you.
  • Attempt to probe, scan, or test the vulnerability of the service without authorisation, bypass rate limits or authentication controls, or interfere with other customers' use. Coordinated disclosure is welcomed — see Reporting a vulnerability.
  • Send malware, automated abuse traffic, or content designed to exploit downstream systems that consume OCRWell output.
  • Use the service to develop a product that competes directly with OCRWell by reselling raw API capacity.
  • Break any law that applies to you, or to us as the operator of the service.

Regulated-data note: OCRWell is a general-purpose document API. We do not currently position the service as HIPAA-regulated or PCI-DSS in scope. If your use case involves protected health information, cardholder data, or similarly regulated categories, talk to us before you send it.

Plans, fees, and billing

Current pricing is published on the pricing page and forms part of these terms. All fees are in US dollars and exclusive of GST, VAT, sales tax, and withholding taxes, which we will add or you will remit as the law requires.

Billing

Payments are processed by Stripe. Subscription fees are charged in advance on the first day of each billing cycle. By subscribing, you authorise us to charge your payment method on file for recurring fees and any applicable overages.

Overages

If your usage exceeds the page allowance included with your plan, the excess is billed at the per-page overage rate published on your plan and added to your next invoice. The Free tier is a hard cap and never incurs overage charges.

Plan changes

Upgrades take effect immediately and are prorated against the remainder of the current cycle. Downgrades take effect at the end of the current cycle. Annual-plan credits are prorated back to the payment method on file.

Refunds

Paid fees are non-refundable except where a refund is required by consumer-protection law — in particular, the Australian Consumer Law guarantees that cannot be excluded by these terms. If you believe you've been charged in error, contact billing@ocrwell.com and we'll sort it out.

Overdue amounts

If an invoice remains unpaid for more than 14 days after it is due, we may suspend the account until the balance is cleared.

Free tier

The Free tier is provided so you can evaluate OCRWell. It is offered "as is", carries no SLA, and is subject to a hard monthly cap. Once the cap is reached, requests return HTTP 429 until the next billing cycle. We may change or end the Free tier with reasonable notice.

Your data and content

As between you and us, you own the documents you submit and the structured data we return. You grant us a limited, worldwide, non-exclusive licence to host, process, and transmit that content only to the extent needed to run the service for you — for example, reading a document through the OCR and extraction pipeline and delivering the result to your integration.

We do not use your content to train, fine-tune, evaluate, or benchmark machine-learning models. Full detail on what we collect, how long it is retained, and how it is deleted is in the privacy policy.

You warrant that you have the rights necessary to submit content to OCRWell and to let us process it as described in the privacy policy.

Our service and IP

OCRWell, including the API, dashboard, documentation, SDKs, models, and underlying software, is owned by Corrected Cloud Pty Ltd or our licensors. Except for the rights we explicitly grant you in these terms, no other rights are granted.

You may not copy, reverse-engineer, or create derivative works of the service, except to the extent that applicable law permits despite a contractual restriction.

If you give us feedback or suggestions about OCRWell, we may use them to improve the service without obligation or compensation.

Availability and SLA

Professional and higher plans include a 99.9% monthly uptime target. If we miss it in a given month, affected customers are eligible for service credits in accordance with the SLA published on the pricing page. Service credits are the sole and exclusive remedy for any failure to meet the uptime target.

Planned maintenance, force-majeure events, and outages caused by factors outside our control (including upstream provider failures, your own infrastructure, or traffic that violates the acceptable-use terms) are excluded from the SLA calculation.

Suspension

We may suspend your account or specific API keys without prior notice if we reasonably believe doing so is necessary to protect the service, other customers, or a third party — for example, in response to a credible security threat, a breach of the acceptable-use terms, or a legal demand. Where the issue is not urgent, we will contact you first and give you a chance to put it right.

Termination

You can close your account at any time from the dashboard. Closing the account ends the current subscription at the end of its paid term; annual plans are not refunded for the unused portion except as required by law.

We may terminate or decline to renew an account for material breach of these terms that is not remedied within 14 days of written notice, for repeated abuse, or for non-payment as described under Plans, fees, and billing.

On termination we delete account metadata within 30 days, excluding records we are required to retain (for example, tax invoices). Clauses that by their nature should survive — IP, data ownership, limitation of liability, indemnity, governing law — survive termination.

Warranties and disclaimers

OCRWell is a machine-learning system. It makes mistakes. Extracted fields and OCR output are best-effort results that you should validate before relying on them for consequential decisions — especially in regulated, financial, medical, or legal contexts.

Except as expressly stated in these terms, and subject to rights that cannot be excluded under the Australian Consumer Law or other applicable consumer-protection legislation, the service is provided "as is" and "as available". We disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that extracted output will be complete or accurate in every case.

To the extent the Australian Consumer Law applies and cannot be excluded, our liability for a failure to comply with a consumer guarantee is limited (at our option) to re-supplying the affected service or refunding the fees paid for it, to the extent permitted by that law.

Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, special, exemplary, or punitive damages, loss of profits, loss of revenue, loss of goodwill, or loss or corruption of data, even if advised of the possibility.

Each party's total aggregate liability arising out of or in connection with these terms is capped at the fees paid to us for the service in the twelve months immediately preceding the event giving rise to the claim.

These caps and exclusions do not apply to amounts owed for the service, a party's indemnification obligations, breach of confidentiality, infringement of the other party's intellectual property, or liability that cannot be limited or excluded under applicable law.

Indemnity

You will defend and indemnify us against third-party claims arising from (a) content you submit to OCRWell, including any claim that the content infringes intellectual-property rights or breaches privacy or confidentiality obligations, and (b) your breach of these terms, including the acceptable-use terms.

We will let you know promptly of any such claim, let you control the defence and settlement (provided any settlement that imposes a non-monetary obligation on us requires our consent), and cooperate at your reasonable expense.

Changes to these terms

We may update these terms as the service evolves. For material changes, we will email account owners at least 30 days before the change takes effect and update the "Last updated" date at the top of this page. For non-material changes — typos, clarifications, a new sub-processor in the privacy policy — we will update the page and the date without individual notice.

If you don't agree with a material change, you can close your account before it takes effect. Continuing to use OCRWell after the effective date means you accept the updated terms.

Governing law

These terms are governed by the laws of New South Wales, Australia. Each party submits to the exclusive jurisdiction of the courts of New South Wales and the courts of appeal from them, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

If any part of these terms is held unenforceable, the rest remains in force. Our failure to enforce a right is not a waiver of it. You cannot assign these terms without our written consent; we may assign them to an affiliate or in connection with a corporate transaction. The parties are independent contractors — no agency, partnership, or joint venture is created by these terms.
